Terms of Service

These are the rules for using Penholder. We kept them short and plain on purpose. If anything is unclear, ask us at support@penholder.app.

1. Who we are

Penholder, at penholder.app, is made and run by ZOOMERS NETWORK LGTM S.R.L. (CUI 51548084). When these terms say "we" or "us", that is who they mean. Our full details are on the company details page.

By creating an account or using Penholder, you agree to these terms. If you sign up for a company or a team, you agree for them too, and you are confirming that you are allowed to.

2. What Penholder is

Penholder helps a team put its priorities in order. Anyone on the team can suggest things. One person holds the pen and decides what goes on the list and in what order. A line shows what you are really working on, and when two things tie, you name what tells them apart. Penholder keeps improving as we learn what teams need, so it will change over time.

3. Your account

You need to be 16 or older. Please use your real name and an email address that is yours, keep your password to yourself, and tell us straight away at support@penholder.app if you think someone got into your account. What happens in your account is your responsibility.

4. Teams and the pen

Every team has at least one owner. Owners look after the team: its people, its name and logo, and its billing, and only they can delete it. The person holding the pen decides what goes on the team's lists, in what order, and when something is done. When you invite someone, please only invite people who expect to hear from you.

5. What you put in stays yours

Your team's items, reasons, fields, images and logos belong to you. You let us store them, back them up and show them to your team, and we use them for nothing else. Please only upload things you have the right to share, and nothing illegal.

If you use Penholder for a company or a team, the team's data is yours and we only handle it for you. The Data Processing Agreement says how, and it is part of these terms. You do not need to sign it; ask us if your company needs a signed copy.

If you write a review in your profile, you let us show it on our own pages, with your name and picture when you tick that box and without them when you do not. You can change it or take it down whenever you like, and it comes off the same minute. We may decide not to publish one, and we never change your words: what goes up is what you wrote.

6. Please don't

• use Penholder to break the law;
• upload malware, or anything illegal, infringing or abusive;
• try to get into accounts or teams that are not yours;
• overload Penholder or work around its limits;
• use invitations to send spam.

If someone does, we may suspend or close the account or team. We will tell you why, unless the law or someone's safety stops us.

7. Price and payment

A team pays one flat price, however many people are in it: 5 US dollars a month or 50 US dollars a year, tax included. Where tax applies, it comes out of that price, so what you see is what you pay. Subscriptions renew on their own until you cancel.

Creating an account and joining a team are free. Using a team is not, and there is no free trial: a team opens once an owner starts its plan, and the first payment is taken then.

Payments go through Stripe. Depending on where you are, Link (Sold through Link, LLC) may be the one selling you the plan, under its own terms. When that happens, Link collects the money and any tax, and we are still the ones responsible for Penholder itself.

If we ever change the price, owners hear from us by email at least 30 days before it affects their next renewal.

8. Cancelling and refunds

Owners can cancel whenever they like, in team settings under Billing details. The full refund in your first 14 days, and everything else about cancelling, is in our refund and cancellation policy, which is part of these terms.

9. Keeping Penholder running

We back up your data every day and work hard to keep Penholder up. We cannot promise it will never go down or never have a bug.

10. Limits on what we owe

Some things can never be limited by a contract, such as harm caused on purpose or through gross negligence, and your rights as a consumer. Those stay exactly as the law sets them. Beyond that, we are not responsible for indirect losses such as lost profit, and the most we can owe you in total is what your team paid us in the 12 months before the problem, or 50 US dollars, whichever is more.

11. Leaving

You can delete your account from your profile at any time, and owners can delete a team from its settings. We may close accounts or teams that break these terms. If we ever shut Penholder down, we will give at least 30 days' notice by email and refund any time you paid for but did not get.

12. When these terms change

If we change something that matters, we will tell you by email or in the app before it takes effect. If you keep using Penholder after that, the new terms apply.

13. The law

Romanian law applies to these terms, and any dispute goes to the competent Romanian courts. If you are a consumer, you also keep the protection of the law where you live, and you can bring a claim there.
